Re: Data Transfer Confirmation (“Confirmation”)

The undersigned customer (“Customer“), hereby represents and confirms as follows:

1. The Customer has entered into a Service Agreement with Tabit on ________ (“Service Agreement“) under which Tabit has agreed to provide a cloud based restuarant management system to the Customer (the “System“). The System will facilitate the Customer to provide a customer loyalty program (“Hosted Loyalty Program“).

2. The Customer operates an existing loyalty program and/or customer club and/or any other framework in which it offers benefits to its end customers (“Existing Customer Program” and the “Existing End Customers“, respectively).

3. As part of operating the Existing Customer Program, the Customer collects and updates information and data related to the Existing Customer Program and Existing End Customers, including the number of Existing End Customers who are members and/or eligible for benefits within the Existing Customer Program, the nature of the benefits, and their scope (collectively, the “Existing Data“).

4. The Customer has obtained all necessary approvals and consents and has all rights according to the Agreement and/or any applicable law to: (a) enroll Existing End Customers in the Hosted Loyalty Program; (b) collect, store, and transfer the Existing Data to third parties, including Tabit; and (c) send direct marketing, advertisements, and benefits to Existing End Customers (except to the extent flagged otherwise).

5. The Customer has transferred all Existing Data to Tabit as of the commencement date of the provision of the service by Tabit under the Agreement (“Effective Date“).

6. Without derogating from the above, the Existing Data as of the Effective Date is as follows:

7. Tabit will fully rely on the Existing Data as received by it on the Effective Date, and neither the Customer nor anyone on its behalf shall have any claim, demand, or lawsuit against Tabit regarding the Existing Data, its transfer, and/or its accuracy.

8. This Confirmation is provided by the Customer Pursuant to the Service Agreement.
